# Data Room for Selling a Small Business (2026): What to Include, When to Share and Costs

Updated 6 November 2026 · HelpRange

When you sell a small business, the buyer – and their lender, accountant and lawyer – will ask for the same documents again and again. A **data room** puts them in one place, lets you decide who sees what and when, and shows you which buyers are actually doing their homework. You do not need an enterprise VDR built for billion-dollar deals; you need a clear index, an NDA before access, view-only documents with each viewer's e-mail watermarked, and a price that fits a 3–6 month process. This guide covers when to open the room, what goes in it, how to stage access and what it costs.

Updated 6 November 2026. Disclosure: HelpRange is our product; the process applies to any data room.

## When in the sale you need a data room

1. **Teaser** (anonymous one-pager) – no room yet; send it by e-mail or a tracked link.
2. **NDA signed** – open the room with the confidential information memorandum (CIM) and summary financials.
3. **Letter of intent** – the buyer you sign with gets the full due diligence folders.
4. **Due diligence** (typically 30–90 days) – the buyer's accountant, lawyer and lender work through the room and ask questions.
5. **Closing** – export the activity and Q&A log, close access.

## What to put in the data room

| # | Folder | Typical documents for a small business |
|---|---|---|
| 1 | Overview | CIM, org chart, ownership, business description |
| 2 | Financial | Tax returns and financial statements (3 years), year-to-date P&L, add-backs / seller's discretionary earnings, bank statements, AR/AP ageing, debt |
| 3 | Sales & customers | Revenue by customer, top customer contracts, pricing, pipeline, reviews |
| 4 | Operations | Suppliers and contracts, inventory, equipment list, processes, software and licences |
| 5 | Employees | Staff list (anonymised until late stage), employment terms, contractors, benefits |
| 6 | Legal | Company documents, licences and permits, litigation, insurance, intellectual property |
| 7 | Property | Lease or title, landlord consent requirements |
| 8 | Transaction | NDA, LOI, Q&A log |

## Stage access – not everything on day one

| Stage | Who | Opens |
|---|---|---|
| After NDA | All interested buyers | 1 Overview, summary of 2 Financial |
| After LOI | The chosen buyer and advisers | All folders except names in 3 and 5 |
| Late diligence | The buyer's lawyer and lender | Customer names, employee details, full contracts |

Keep one group or link per buyer so you can see each buyer's activity and close access for one without affecting the others. Keep everything view-only with the viewer's e-mail watermarked on each page; enable downloads only for the folders the lender or accountant must work with offline.

## Reading buyer activity

- A buyer who reads the financial folder and the top customer contracts within days of the NDA is preparing an offer.
- A buyer who opened only the CIM once is browsing – spend your time elsewhere.
- Repeated visits by a new e-mail address from the buyer's side usually mean their accountant or lender has started – expect questions.

## What a data room for a small business sale costs

| Option | Cost for a 3–6 month sale |
|---|---|
| Cloud folder (Google Drive, Dropbox) | Free–low, but no NDA gate, per-buyer watermark or per-buyer activity |
| HelpRange Deal Room Pass | $199 for 90 days; another pass adds 90 days |
| Monthly data room plans (DocSend, Onehub, CapLinked, SecureDocs) | About $300–400 a month → $900–2,400 |
| Enterprise VDR (Datasite, Intralinks, Firmex) | Quoted per project; often several thousand dollars |

## Mistakes that cost sellers

- Sending the full financials by e-mail before an NDA.
- Uploading employee and customer names before an LOI.
- One shared link for all buyers – no way to tell who is serious or to cut one off.
- A messy index: buyers' advisers bill by the hour while they search.
- Leaving access open after a buyer walks away.

## FAQ

### Do I need a data room to sell a small business?

Not legally, but with more than one buyer, or a buyer who brings a lender and advisers, it saves time, keeps control of confidential information and shows you who is serious.

### What documents do buyers ask for first?

Three years of tax returns and financial statements, year-to-date figures, revenue by customer, the lease, key contracts and a list of employees and their terms.

### How long does due diligence take for a small business?

Typically 30–90 days after the letter of intent, longer if a lender is involved.

### Can a business broker run the data room?

Yes – brokers often set it up and invite buyers. With per-team pricing the broker can add colleagues and the seller at no extra cost.
