Short answer: a Carta data room is the "Data Rooms" feature inside Carta's equity management software. Admins create a room from the Documents tab, upload files into folders and share it by e-mail; recipients must log in to Carta or create a Carta account. It is convenient because your cap table, 409A and investor list already live in Carta. What Carta's own release note did not include at launch – PDF watermarks and NDAs were announced as "coming soon" – and per-page reading analytics are what founders usually add a dedicated room for. Carta does not publish a separate price for data rooms. Below: what it does, how to set it up, the limits, and alternatives.
What the Carta data room does
| Need in a fundraise | Carta Data Rooms (per Carta's pages) |
|---|---|
| Upload and organise documents | Yes – rooms and folders from the Documents tab |
| Share with investors | Yes – by e-mail invitation; recipients log in to Carta or create an account |
| See who has access | Yes – admins see who a room is shared with |
| View or download access | Sharing can "grant them download and view access to files" (Carta LLC help) |
| Watermark PDFs, require an NDA | Announced as "coming soon" in Carta's release note; we found no later Carta page confirming them |
| Time per page, who read which page | Not described on the Carta pages we could read |
| Price | No separate data room price published |

Carta also has a fundraising data room for fund managers within its fund closing tools (release note).
How to set up a data room in Carta
- Open Documents in your company's Carta account (you need admin rights).
- Create a Data Room, name it and add folders – use the order investors expect (corporate, cap table, financials, contracts, IP, team). Our data room index generator builds the list.
- Upload documents; documents already in Carta (charter, option plan, 409A) can sit next to the ones you upload.
- Open Manage data rooms and share the room by e-mail.
- Investors accept the invitation and sign in to Carta (or create an account) to open the room.
Where founders hit the limits
- Every investor needs a Carta login. Fine for funds that already use Carta, extra friction for angels and strategic investors.
- No reading signal described. You learn who has access, but Carta's pages do not describe which investor read the financial model and for how long – the signal that tells you who to call.
- Watermark and NDA. Announced, not confirmed on the pages we could read. If an investor must accept an NDA before the room opens, check this in your Carta account first.
- The deck stage. Carta rooms are for diligence; for the first pitch deck send-out you will usually want a tracked link with time per slide anyway.

Carta plus a tracked room
Many founders keep the cap table in Carta and run the raise in a room that shows engagement: share the deck as a tracked link, then open the diligence room behind a click-to-sign NDA, with each investor's e-mail watermarked on every page and reading time per page. Investors open it from the e-mail link with a verification code – no account. Your whole team, unlimited guests, one price. Or $199 for a single deal. No sales call. See the fundraising data room.
FAQ

Yes. Carta's "Data Rooms" feature lets company admins create rooms from the Documents tab, upload files into folders and share them by e-mail with investors or auditors.
Is the Carta data room free?
Carta does not publish a separate price for data rooms; it is part of the Carta account. Check what your Carta plan includes – Carta's pricing page could not be read automatically on 7 November 2026.
Do investors need a Carta account to open a Carta data room?
Yes – per Carta's release note, recipients get an invitation to log in or create a Carta account.
