Data Room Q&A (2026): How Due Diligence Q&A Works and Which 18 VDRs Have It

Updated · HelpRange

Short answer: data room Q&A is the part of a virtual data room where buyers or investors ask questions about the documents and the seller's team answers them, with a record of who asked what and when. A full Q&A module adds routing to experts, an approval step before answers are released, categories and priorities, limits per bidder and Excel import/export of the question list. Enterprise VDRs (Datasite, iDeals, Firmex, Intralinks, Drooms Business, Sterling) have all of this; DocSend, ShareFile VDR, SecureDocs, ShareVault Pro, CapLinked and Peony have lighter versions; Box, SharePoint, Onehub and plain Dropbox have none. A newer, separate feature is AI Q&A: the AI answers from the room's documents with page references. Below: how a Q&A workflow runs and a table of 18 providers with the plan you need.

How a due diligence Q&A workflow works

  1. Set up – the admin switches Q&A on, creates question teams (usually one per bidder) and categories (finance, legal, tax, HR, IT), and sets limits, e.g. a maximum number of open questions per bidder.
  2. Ask – a buyer's team member drafts a question, often linked to a specific document; a coordinator on the buyer's side submits it.
  3. Route – the seller's coordinator assigns it to an expert (the CFO, outside counsel, the tax adviser).
  4. Approve – the expert's answer goes to an approver (often the M&A adviser) before it is released, so nothing reaches a bidder unchecked.
  5. Publish – the answer goes to the asking bidder only, or to all bidders as an FAQ when it is not bidder-specific.
  6. Report – open vs answered questions per bidder and category, response times, and an export of the full log for the deal file.

Good practice: one Q&A team per bidder, categories that match your due diligence checklist, and a rule that every answer links to the document it relies on – then upload that document to the room.

AI Q&A vs a human Q&A workflow

Human Q&A moduleAI Q&A from the documents
Answers questions that need new informationYes – the seller's expert writes the answerNo – it can only answer from what is in the room
SpeedHours to days per questionSeconds
ControlApproval before releaseLimited to the room's documents; the owner reviews the log afterwards
Best forFormal sell-side processes with many bidders and advisersSmaller deals and fundraising: "where is the customer list?", "what is the notice period in the lease?"

In practice the two complement each other: the AI handles "where is it" questions, and the human module handles the ones that need a decision. See AI data rooms compared.

Q&A in HelpRange

HelpRange does not have a classic Q&A module with routing and approvals. Guests in a data room can ask the AI, which answers from the room's documents with page references, and the owner sees every question and answer in the room's question log – useful as a list of what buyers care about. Questions that need your input still go by e-mail. If your process needs bidder Q&A with approvals, choose one of the providers above; if the room is for a smaller sale or a funding round, the rest of HelpRange fits: per-person permissions, click-to-sign NDA, a watermark with each viewer's e-mail and page-by-page reading time. Your whole team, unlimited guests, one price. Or $199 for a single deal. No sales call.

FAQ

What is Q&A in a virtual data room?

A module where buyers or investors submit questions about the documents and the seller's team answers them, with routing to experts, approval before release and a full log.

Which virtual data rooms have a Q&A module?

Datasite, iDeals, Firmex, Intralinks, Ansarada, Drooms (Business), Sterling, HighQ, ShareFile VDR, SecureDocs, ShareVault (Pro), CapLinked, DealRoom, DocSend (Advanced Data Rooms), Peony (Data Room plan) and Papermark data rooms. Box, SharePoint, Onehub and plain Dropbox do not have one.

Can bidders see each other's questions?

Not in a properly set-up room: each bidder is its own question team, and the seller chooses whether an answer goes to one bidder or to all as an FAQ.

Can AI answer due diligence questions?

For questions the documents already answer, yes – Datasite drafts answers for approval, and HelpRange lets guests ask the AI directly. Questions that need new information still need a person.

Does HelpRange have data room Q&A?

AI Q&A only: guests ask, the AI answers from the room's documents, and the owner sees the log. There is no human routing or approval workflow.
